Once the documents are complete, incorporation is fast: on average 3–5 business days for a limited company (Ltd. Şti.) and 3–7 business days for a joint-stock company (A.Ş.). The process typically runs as follows:

1. MERSİS application: The articles of association are drafted and submitted for approval through MERSİS, the central trade registry system. This usually takes one business day.
2. Trade registry registration: Once the required documents (signature declaration, incorporation notification form, capital commitment) are complete, the application is filed with the trade registry; registration is finalised within 1–2 business days.
3. Tax office registration: The company must be registered with the tax office within 10 days of publication in the Trade Registry Gazette.
4. SGK workplace registration: If you plan to hire staff, the Social Security workplace registration is completed at the same time.

For foreign shareholders, notarised and apostilled passport copies (and, for corporate shareholders, certified company documents with sworn translations) are needed. Sectors that require special licences (food, pharmaceuticals, finance, etc.) can take longer. We manage every one of these steps on your behalf.
Yes. Every commercial company in Türkiye (limited, joint-stock, partnership, etc.) is legally required to contract a licensed accountant — an SMMM (Certified Public Accountant) or a YMM (Sworn-in CPA). Statutory bookkeeping, the signing of tax returns and Social Security filings must be carried out by a licensed professional; taxpayers who fail to do so face procedural penalties.

Sole proprietorships taxed under the standard regime also need an SMMM for ledger certification, return signatures and statutory notifications. Only very small businesses under the simplified regime are exempt.

What does this mean in practice? Regardless of your company's size, you need a licensed professional for bookkeeping, tax returns, SGK filings and statutory ledgers. Choosing the right accountant protects you from penalties and ensures you take full advantage of the tax benefits available to you.
Taxpayers whose gross sales revenue for the 2025 calendar year reached TRY 3,000,000 or more must switch to the e-invoice system as of 1 July 2026. For e-commerce businesses the threshold is TRY 500,000. Even if you are below the threshold, moving to e-invoicing saves both time and cost. We assess your situation free of charge.
There are several routes: applying for a settlement (uzlaşma) within 30 days can significantly reduce the penalty; you may pursue a post-assessment settlement or take the matter to the tax court; or, where applicable, a voluntary disclosure (pişmanlık) may be the better option. We determine the most advantageous route together, based on the type and amount of the penalty.

The minimum fee schedule published by TÜRMOB (the Union of Chambers of Certified Public Accountants of Türkiye) serves as the baseline, with flexible packages depending on scope and working arrangement.
